Service Contract

This is a service and support contract between you (THE CUSTOMER) and SCA Mecánica, S.A., RIF J-30699760-1, located in Calle 148, Torre CPN, Ofic 3-3, Valencia, VEN 2001 (THE PROVIDER).

Objective

The objective of this contract is for the THE PROVIDER to give support and maintenance services for the vehicle space optimization (VSO) software (THE SERVICE).

Coverage

The following is included in the support service:

  1. client application (downloaded onto the user's machine),
  2. optimization calculations (at the server level),
  3. data management at the server level and
  4. user data backup.

Conditions and Methods

THE SERVICE will be delivered in the full schedule of 24 hours per day, 365 days a year. Includes contact with users and technical staff of THE CUSTOMER, through the following communication methods (available through our support page):

  1. Email: using any of the support addresses. Response time will not exceed 5 hours.
  2. Skype: using the user name available through our support page. Response time will depend on the availability of the user, being immediate if the user is online.
  3. Phone: response time will depend on availability.

THE PROVIDER must provide the following information during usage:

  1. Enough documentation to inform of all the software features
  2. Basic software troubleshooting

Software updates

THE SERVICE will include all the changes that can affect positively the performance of the related software.

Business Considerations

Contract Termination

THE CUSTOMER may terminate the contract in at any moment with THE SERVICE being suspended immediately. Monthly billing handled by Paypal will be made according to the following procedure: Recurring payments are collected on the same day of the month. If the initial recurring payment falls on the 31st, PayPal eventually adjusts the billing cycle to the 1st of the month. If the initial recurring payment falls on the 29th or 30th, PayPal adjusts the billing cycle to the 1st of the month on the following February.

Rights

THE SERVICE does not include any concession of intellectual property from the related software. The client and server software are copyrighted material of THE PROVIDER.

Data Integrity

Database registers generated by THE SERVICE are the property of THE CUSTOMER. THE PROVIDER will enable the means to download a data backup when needed by THE CUSTOMER.

Jurisdiction

This service contract will be regulated by the laws of Venezuela.
